Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of websites, services, and products provided by Kavara Digital Global LTD ("Kavara Digital", "we", "us", or "our"), a web development and digital marketing agency registered in Lagos, Nigeria. By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

Kavara Digital provides the following services, as described on our website and in individual project agreements:

• Custom web design and development
• Mobile application development
• SEO optimization and digital marketing
• E-commerce store development and integration
• AI integration and automation solutions
• Brand identity design and guidelines
• Project management and consulting
• Educational workshops and training programs

The scope, timeline, and deliverables for each project will be documented in a separate project proposal or statement of work ("SOW") agreed upon by both parties.

3. Client Obligations

To ensure successful project delivery, clients agree to:

• Provide accurate and complete project requirements, content, images, and feedback in a timely manner.
• Designate a single point of contact for project communication.
• Review and approve deliverables within the agreed-upon timeframe (typically 5 business days unless otherwise stated).
• Ensure all content provided is original or properly licensed and does not infringe on third-party rights.

Delays in providing required materials may result in adjusted timelines and, in some cases, additional charges.

4. Payment Terms

• Deposits: A non-refundable deposit (typically 50%) is required before work begins. The exact amount will be specified in the project proposal.
• Milestones: For larger projects, payments may be structured around agreed milestones.
• Final payment: The remaining balance is due upon project completion and before the transfer of final deliverables.
• Late payments: Invoices unpaid after 14 days may incur a late fee of 5% per month on the outstanding balance.
• Currencies: Payments are accepted in Nigerian Naira (NGN), US Dollars (USD), and other currencies as agreed.

5. Intellectual Property

Client Ownership

Upon full payment, the client receives ownership of all custom deliverables created specifically for their project, including custom designs, code, and content.

Our Retained Rights

• We retain the right to use general knowledge, techniques, tools, and reusable code components developed during the project.
• Third-party software, frameworks, and open-source libraries used in the project remain under their respective licenses.
• We reserve the right to showcase the project in our portfolio unless otherwise agreed in writing.

6. Project Revisions

Each project package includes a defined number of revision rounds as specified in the project proposal. Additional revisions beyond the included rounds will be billed at our standard hourly rate. Major scope changes or feature additions ("scope creep") will require a change order with adjusted pricing and timelines.

7. Warranties & Disclaimers

• We warrant that our services will be performed with professional care and in accordance with industry standards.
• We provide a 30-day bug fix warranty after project launch for issues directly caused by our code.
• We do not guarantee specific search engine rankings, traffic volumes, or revenue outcomes from our SEO and marketing services.
• Our services are provided "as is" without warranties of merchantability or fitness for a particular purpose beyond what is expressly stated.

8. Limitation of Liability

To the maximum extent permitted by law, Kavara Digital's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data, or business opportunities.

9. Cancellation & Refunds

• Either party may terminate the project by providing written notice.
• If the client cancels, the deposit is non-refundable and the client will be invoiced for all work completed up to the cancellation date.
• If Kavara Digital cancels, we will refund any payments for undelivered work.
• Workshop and event registrations are refundable up to 7 days before the event date, minus a 10% processing fee.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the agreement and continues for a period of two (2) years after the project's completion.

11. Website Use

By using the Kavara Digital website, you agree not to:

• Attempt to gain unauthorized access to our systems or user accounts.
• Transmit malicious code, spam, or harmful content.
• Scrape, copy, or reproduce our website content without prior written permission.
• Use our website for any unlawful purpose.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration in Lagos, Nigeria.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the revised Terms.
